凱悅宣布收購TWO ROADS HOSPITALITY 加大品牌發(fā)展陣容

上海2018年10月9日電 /美通社/ -- 凱悅酒店集團 (紐約證券交易所代碼:H) 今日宣布,已達成協(xié)議收購 Two Roads Hospitality。Two Roads Hospitality 是一家業(yè)務(wù)遍布全球的生活方式酒店管理集團,在全球擁有一系列獨具特色的品牌、物業(yè)以及不斷發(fā)展的酒店項目。

通過此次收購,凱悅將納入Two Roads 及旗下著名的生活方式酒店品牌,以及8個國家85個物業(yè)當中大部分的管理合同。這意味著凱悅的品牌版圖將擴展至23個全新市場,同時將提供更為豐富的生活方式和健康休閑體驗。借助Two Roads及其旗下一系列充滿個性的生活方式酒店、度假村和度假公寓,凱悅將擁有陣容更強大、實力更雄厚的品牌組合,提供業(yè)內(nèi)更優(yōu)良的設(shè)施和服務(wù),帶給客人和凱悅忠誠旅客計劃“凱悅天地”的會員更具吸引力的體驗和禮遇。本次收購還將進一步深化與酒店業(yè)主之間的關(guān)系,為股東帶來回報。

此次收購包括4億8千萬美元的基礎(chǔ)交易價格,以及凱悅可能將在交易完成后需就個別界定的某些條款而額外投資1億2千萬美元。根據(jù)此次收購價格及額外投資費用預(yù)測,稅息折舊及攤銷前利潤(EBITDA)約為2021年預(yù)期利潤總額的12至13倍。凱悅認為,從預(yù)期的收購協(xié)同效應(yīng)和業(yè)務(wù)增長來看,這是較佳估值指標。

凱悅此次選擇投資高增長潛力、低資本投入的平臺,貫徹了凱悅集團致力為股東創(chuàng)造較大價值的長線業(yè)務(wù)發(fā)展戰(zhàn)略,將使集團加快成為一個更加以管理運營費用驅(qū)動為主的企業(yè)。本次收購資金來自一項資產(chǎn)出售計劃的所得款項。在該項計劃中,資產(chǎn)平均以16.5 倍的EBITDA 售出。凱悅之所以選擇在今年進行投資,是因為凱悅承諾在2018 年通過股份回購和派發(fā)現(xiàn)金股息,給予股東約8 億美元的回報。

凱悅將通過2018年10月31日的第三季度財報,對外公布關(guān)于本次收購的更多信息,包括2019年盈利增長的初步估計。此外,凱悅還計劃于2019年將Two Roads品牌加入“凱悅天地”忠誠旅客計劃,增加會員賺取和兌換積分的機會,讓會員擁有更多的休閑住宿選擇。另一方面,該項計劃的會員都是集團的忠誠旅客,他們消費能力更強、入住天數(shù)更長,通常會直接訂房,因此酒店入住率也有望在明年繼續(xù)上漲。
